These Terms and Conditions are an agreement between you and Memr.is, Inc., a Kansas corporation. “Memr.is,” “we,” “us,” and “our” mean Memr.is, Inc. “Service” means the memr.is website and the Memr.is applications, beta features, accounts, and related services that link to these terms.
Please read these terms together with the Privacy Policy, Minor Protections Policy, and Anti-Cheating Policy. If you use Memr.is for a church, team, organization, or child, you also confirm that you have the authority described below.
1. Acceptance and electronic agreement
By creating an account, accepting these terms in the Service, or continuing to use a part of the Service that clearly links to these terms, you agree to them. If you do not agree, do not use that part of the Service.
You agree that an electronic acceptance can form an agreement. If you accept for a company, church, team, organization, or another person, you represent that you have authority to bind that person or entity. A minor's click does not replace the consent or agreement of a parent or legal guardian where that authority is required.
2. Pre-release service
Memr.is is in active pre-release development and is available through an invitation-based beta. Features may be incomplete, unavailable, changed, limited to invited testers, or removed. Test data may be reset. We may limit access to protect security, safety, rights, reliability, or compliance.
Do not rely on a beta environment as the only copy of important records, as the sole official score record for a sanctioned event, or as an emergency, safeguarding, legal, or records-retention system. Under-13 product access remains unavailable unless Memr.is expressly approves a guardian-cleared flow with the required age, consent, retention, and deletion protections.
3. Eligibility, minors, and guardian authority
- Adults may create their own account if they can form a binding agreement where they live.
- The current pre-release account flow places accounts it classifies as under 18 into a pending guardian-consent state with no active session until the required clearance is complete. That classification uses a calendar-year estimate from birth year, can move someone into the next tier before their birthday, and is not approved as age assurance for under-13 product access.
- A child under 13 may use an account only through an expressly approved flow in which a parent or legal guardian receives notice, verifies authority, gives the required consent, and activates the approved relationship.
- A teen may use the Service only with the permission and involvement required by the presented account flow and applicable law.
- A coach, church leader, or event organizer is not a parent or legal guardian merely because of that role and cannot give parental consent without separate documented legal authority.
- Guest match access is not approved for children under 13. Other guests must use a non-identifying display name and follow the organizer's age and consent requirements.
- Investor-interest features are for adults and require the stated eligibility attestation; submitting an interest form is not an investment agreement or offering.
4. Accounts and security
Provide accurate information, keep sign-in methods and recovery material secure, and promptly report suspected unauthorized access. Do not share an account, impersonate another person, or create an account for someone without authority.
You are responsible for activity under your account to the extent the law permits, except activity caused by a failure for which Memr.is is legally responsible. We may require verification, refuse a risky sign-in, revoke sessions, or restrict an account to protect users or the Service.
5. Organizations, teams, invitations, and roles
Organization owners and authorized administrators are responsible for accurate organization and team information, appropriate role assignments, lawful invitations, and limiting access to people who need it. Coaches and administrators may access only the people, teams, and records allowed by their assigned scope.
Do not use an invitation or role to claim guardian authority, view records outside your scope, or make decisions you are not authorized to make. Memr.is backend permission checks remain authoritative even if a screen appears to offer a control.
6. Acceptable use
Use Memr.is for lawful Scripture study, Bible quizzing, team administration, and related purposes. You may not:
- Harass, exploit, groom, threaten, shame, or endanger another person, or attempt unwanted contact with a minor.
- Circumvent age, guardian, role, organization, account, safety, security, rate-limit, or access controls.
- Probe, scrape, reverse engineer, interfere with, overload, or introduce malware into the Service except to the limited extent a right cannot lawfully be restricted or Memr.is has authorized testing in writing.
- Use bots, automation, extracted answers, collusion, impersonation, or other prohibited methods described in the Anti-Cheating Policy.
- Upload or submit material you do not have the right to use, unlawful material, personal information about someone without authority, or secrets such as passwords and access tokens.
- Use the Service to build advertising profiles, sell personal information, or identify or contact a child outside an authorized team or family relationship.
7. Matches, scoring, and organizer rules
A match host or organizer selects the ruleset and adjudicates answers. Network conditions, device clocks, host judgment, and software limitations can affect a result. Memr.is may record timing, answers, verdicts, scores, and event history to operate the match and review disputes.
Organizer or program rules may add stricter requirements. If an organizer's rule conflicts with these terms on safety, privacy, security, or platform access, these terms control for use of Memr.is. Current beta match tools are for practice and are not certified as the sole officiating record for sanctioned or high-stakes competition unless Memr.is expressly says otherwise in writing.
8. Content you provide
You keep ownership of original content you submit, such as study notes, reflections, questions, ruleset names, organization information, and support messages. You give Memr.is a limited, non-exclusive, worldwide license to host, copy, process, display, and transmit that content only as reasonably needed to provide, secure, support, and maintain the Service and meet legal obligations.
You represent that you have the rights and authority needed to provide the content. Do not submit confidential third-party material or a child's personal information unless the approved role and consent flow allows it.
9. Memr.is and scripture content
Memr.is and its licensors own the Service, software, designs, branding, and content supplied by Memr.is, except for public-domain material and content owned by others. Subject to these terms, Memr.is gives you a limited, revocable, non-transferable right to use the Service for its intended personal or authorized organizational purpose.
Scripture translations, questions, and other materials may be public domain, licensed, server-only, limited by geography or use, or unavailable offline. Do not remove attribution or rights notices, redistribute restricted content, or assume a translation is licensed for every use. Translation availability remains subject to applicable rights and license terms.
10. Third-party services and no implied endorsement
The Service may interact with hosting, email, authentication, browser speech, or other third-party services. Their terms and privacy practices apply to their part of the service. Memr.is is not responsible for an independent third-party service to the extent the law permits.
References to WPF, UPCI Ignite, a church, an event, a publisher, a translation, or another organization describe supported formats or community context. They do not mean that organization sponsors, endorses, or is affiliated with Memr.is unless we say so expressly.
11. Fees
Memr.is does not currently process payments or subscriptions through the Service. Beta access is currently free. If paid features are introduced, the price, billing period, cancellation terms, refunds, and any additional terms will be shown before a charge is authorized. An interest form does not create a payment obligation.
12. Restriction, suspension, and termination
We may warn, restrict a feature, remove someone from a match, correct or exclude a result, suspend access, or terminate an account when reasonably necessary for safety, security, legal compliance, service integrity, nonpayment under future paid terms, or a material violation of these policies. We may act immediately when delay could create harm.
Where appropriate, we will consider context and provide notice or a review path. Cases involving minors are handled privately and may involve the verified guardian or authorized organization. Ending an account does not erase obligations or records that reasonably must survive, including rights ownership, lawful retention, dispute, enforcement, and liability provisions.
13. Disclaimers
To the extent permitted by law, the pre-release Service is provided “as is” and “as available.” We do not promise uninterrupted or error-free operation, perfect recall or learning outcomes, perfect network fairness, automatic cheating detection, availability of a particular feature or translation, or that a host's ruling will be correct.
Memr.is is an educational and competition-support tool. It is not legal, medical, pastoral, emergency, or professional safeguarding advice. Nothing in these terms excludes warranties or rights that cannot lawfully be excluded.
14. Limits of responsibility
To the extent permitted by law, Memr.is is not responsible for indirect, incidental, special, exemplary, or consequential losses arising from the Service, including lost data, opportunity, goodwill, or competition results, when those losses were not reasonably foreseeable or were caused by independent users, organizers, networks, devices, or third-party services.
Nothing in these terms limits responsibility that cannot legally be limited, including liability arising from fraud, willful misconduct, or other non-waivable rights. Because the Service is pre-release and currently free, users should keep independent copies of important records and use an organizer-approved official record for high-stakes events.
15. Kansas law and disputes
These terms are governed by Kansas law, without regard to conflict-of-law rules, except where the law where you live gives you non-waivable protections. Any court proceeding must be brought in a state or federal court with jurisdiction in Kansas, unless applicable law requires another forum.
These terms do not require arbitration and do not include a class-action waiver. Before filing a claim, contact us so the parties can try to resolve the issue informally, but doing so does not shorten or waive a legal deadline.
16. Changes and contact
We may update these terms as the Service changes. We will update the effective date and provide additional notice or request renewed acceptance when required. If you do not agree to a material update, stop using the affected Service.
